The role

Are you ready for a challenging new job and make the difference from strategic perspective? We are looking for a Corporate M&A Manager. 

As Corporate M&A Manager you actively support the Head of M&A with search and analysis of market opportunities and subsequently manage the takeover of companies or setting up of joint ventures, or actively pursue the divesture of existing activities.

As Corporate M&A Manager you will be part of a small M&A team, responsible for evaluation, selection and execution of corporate development opportunities. You will do this in close cooperation with the Executive Board, Damen Divisions and multi-disciplinary projects teams. The M&A department is part of the Damen Maritime Ventures division which manages a portfolio of mature and start-up ventures. The department facilitates corporate M&A projects for all Damen Divisions.

Within the department you will be reporting to the Head of M&A. The team consists of three colleagues and your stakeholders are primarily the Executive Board and the Managing Directors of the Divisions. Together you are responsible for the execution of mergers, acquisitions, partnerships and divestments across the globe. Our goal is to deliver on Damen’s strategy, by pursuing and executing transactions that enhance the value of our global platform, explore new distribution channels (e.g. digital) and help better connect with our customers. Within our transaction pipeline the size varies from small to medium sized cap transactions, as well as varying in structure (e.g. majority stake, minority investments, joint ventures).

Key accountabilities

Support and manage the process that leads to the take-over and divestments of ventures or shipyards. Activities include:

  • Analysis of targets in terms of financial performance and operational capabilities;
    • Perform and develop business plans including financial modeling needed for valuation of take-over and divestment targets;
    • Assist in / perform negotiations that lead to a successful take-over/divestment;
    • Coordinate all activities on legal, accounting and financial matters;
    • Cooperate with other departments on structuring financing and operational requirements;
    • Develop an integration plan for the target including management analysis and requirements;
    • Actively support the integration process of / transitional services for the target.
  • Since you will be part of a small team you have to cooperate with experts both within the Damen Shipyards Group as well as outside. This network is to assist the development function in all its aspects including technical and operational issues, financing, market intelligence and more.
  • In addition to the above described main tasks, the Corporate M&A Manager is actively involved in:
    • Analysis of companies active in existing or new market segments and further develop an internal information and tracking system;
    • Coordinate together with the team and EB / Division management new opportunities and start-ups that help Damen to create new value chains;
    • Assist in monthly progress reports and board approval memo’s for the Executive Board and Damen lenders
    • Assist with deal process from A to Z, maintain & update transaction templates and further professionalize the Corporate Development function.

Skills & experience

  • Minimum Bachelor level in Economics, Finance or Business Management or technical study background augmented with relevant experience;
  • Proven track record and experience in M&A, with a minimum of 5 years and maximum of 10 years relevant experience;
  • Ability to travel extensively;
  • Good command of Dutch and English language; other languages are very much welcome;
  • Extensive analytical skills;
  • Excellent verbal and written communication and presentation skills;
  • Able to motivate and coach a team of multiple disciplines to achieve quality results.
